报告摘要：2017年，德国与世界范围内对本土保护的上升趋势使中国海外投资遭受了正面冲击。同时，中国投资商收购（或意图收购）德国目标企业（例如美的成功收购库卡以及福建盛大芯片投资基金收购Aixtron的失败）驱使德国对于外商投资管控的行政流程更严格的把关。另外，欧盟委员会也着手审议针对该领域新增欧盟规则的提案。因此，外商投资管控已成为并购过程中越来越重要的交易风险。此报告将涵盖德国及欧盟层面对此问题的最新进展、此问题对并购所产生的实际影响以及比较美国的相关情况。
Brief introduction: In 2017, protectionist tendencies in Germany and worldwide increased some of which have directly influenced China-outbound investments. Also motivated by the (attempted) acquisitions of German targets by Chinese investors (such as Midea’s successful acquisition of KUKA and Fujian Grand Chip Investment Fund’s failed takeover of Aixtron), Germany tightened its administrative proceedings regarding foreign investment control. Further, the EU Commission is reviewing proposals for additional European regulation in this field. Thus, the foreign investment control became an increasingly relevant transaction risk when conducting M&A. The presentation will cover recent developments particularly in Germany and on the European level, sketch out practical implications in M&A, and draw comparisons to the U.S.
